Job Description
Overview
The Legal & Compliance function supports the organisation’s business operations by strengthening legal risk management, corporate governance, and regulatory compliance. This role provides legal guidance for commercial trading activities while supporting compliance initiatives across the business.
Reporting to the Deputy General Manager, Legal & Compliance, the Legal Counsel will advise on legal matters, draft and review commercial agreements, and contribute to the implementation and monitoring of compliance policies and regulatory requirements.
Responsibilities
Commercial Legal Support
- Draft, review, negotiate, and advise on a broad range of commercial agreements, including commodity sale and purchase contracts, service and agency agreements, logistics and warehousing contracts, parent company guarantees, novation agreements, charter parties, confidentiality agreements, and documentation supporting new business initiatives.
- Provide legal advice on derivatives-related transactions and applicable regulatory requirements.
- Offer practical legal guidance on contractual rights and obligations, licensing requirements, regulatory matters, corporate governance issues, export controls, waste management regulations, and other corporate legal matters.
External Legal Counsel Management
- Coordinate with external legal advisers when required, including obtaining fee proposals, managing engagements, and facilitating communications on legal matters.
Compliance
- Support and oversee compliance with applicable laws, regulations, and internal policies, including those relating to commodity trading, foreign investments, sanctions, anti-bribery and corruption (ABC), anti-money laundering (AML), competition law, and corporate governance.
Training & Knowledge Sharing
- Organise and deliver legal and compliance training sessions to enhance employees’ understanding of relevant laws, regulations, and internal compliance requirements across multiple jurisdictions.
Internal Controls
- Assist in strengthening internal control frameworks by supporting corporate governance initiatives and participating in internal review and audit-related activities.
Qualifications
- Qualified lawyer in Singapore, the UK, or another recognised common law jurisdiction.
- Minimum 2 years of post-qualification experience gained in private practice or an in-house legal role, preferably within commodities trading or a related commercial industry.
- Experience handling disputes, restructuring matters, or distressed situations will be an advantage for candidates from private practice.
